"User" refers to any restaurant, supplier, or its authorized member that has registered and uses this platform.

"Restaurant" refers to a user registered on this platform as an ingredient purchaser.

"Supplier" refers to a user registered on this platform as an ingredient seller.

"Services" refers to all functions provided by this platform, including but not limited to product display, order management, payment processing, instant messaging, etc.

"Content" refers to any materials posted by users on the platform, including but not limited to product information, images, document proofs, messages, etc.
2. Service Description

This platform is a B2B ingredient supply intermediary platform aimed at providing business matchmaking, order management, and payment settlement services for local Hong Kong restaurants and ingredient suppliers.

This company only provides a technical platform to facilitate transactions between restaurants and suppliers, and does not own, sell, or supply any ingredient products. Actual sales contracts exist only between restaurants and suppliers.

This company reserves the right to modify, suspend, or terminate part or all of the services at any time without prior notice to users.
3. Account Registration and Management

Users must be Hong Kong registered enterprises or licensed eateries to register as users of this platform.

Restaurant users must upload valid Business Registration (BR) certificates and copies of food premises licenses upon registration. Supplier users must upload Business Registration (BR) certificates and copies of relevant food category licenses. Users warrant that all submitted documents and information are true, accurate, complete, and valid.

This platform reserves the right to approve user registrations and may require users to provide additional proof documents for verification. If it is found that a user has provided false or misleading information, this platform has the right to immediately suspend or terminate their account without prior notice.

Each user can only have one identity (i.e., cannot register simultaneously as both a restaurant and a supplier).

Users must properly safeguard their account login credentials (including passwords, biometric authentication, etc.) and must not transfer or lend them to others for use. Users shall bear full responsibility for all activities conducted through their accounts.

If a user becomes aware of unauthorized use of their account, they should immediately notify this platform.
4. User Responsibilities and Code of Conduct

Users agree not to:

Upload any content that violates Hong Kong laws, contains viruses or malicious code;

Use this platform for any fraudulent, misleading, or illegal activities;
-
Interfere with or disrupt the platform's servers, networks, or system security;
-
Access other users' accounts or data without authorization;
-
Send spam messages or unsolicited promotional information (through the instant messaging system or any other means).

Suppliers warrant that the product information displayed on the platform (including prices, inventory, descriptions, images, and related proofs) is true, accurate, and complies with relevant Hong Kong food safety regulations.

Restaurants warrant that the orders submitted through this platform are genuine commercial procurement needs and that they have the payment capability and willingness.
5. Platform Role and Liability Limitations

This platform is solely a technical service provider, establishing an online marketplace for restaurants and suppliers to conduct business matchmaking and transactions.

This company is not a party to any sales contract. This company makes no express or implied warranties or representations regarding the following:

The quality, safety, merchantability, or fitness for a particular purpose of products;

The supplier's ability or timeliness in fulfilling orders;
-
The restaurant's payment capability;
-
The accuracy or authenticity of any content or information provided by users.

Disputes arising from product quality, delivery delays, non-conforming products, or other transaction issues shall be resolved by the relevant restaurant and supplier themselves. This company has no obligation to intervene in any disputes between users but reserves the right to intervene in mediation.
6. Transaction and Order Terms

When a restaurant submits an order through this platform, it constitutes a purchase offer to the supplier. The order becomes valid and binding only after confirmation by the supplier.

Suppliers have the right to adjust product prices or offer discounts before confirming the order. Once confirmed, unless otherwise negotiated by both parties, the order price shall be the final price.

All orders are subject to the minimum order quantities and related transaction terms set by the supplier.

Restaurants should promptly inspect the goods upon receipt and confirm receipt on the platform or raise a complaint through the platform's mechanism.
7. Payment and Settlement

This platform supports online payments (processed through the Stripe payment gateway) and offline payments (bank transfers).

If users choose online payment and store credit card information, the relevant information will be securely stored and processed by Stripe. This company will not store users' complete credit card details.

Offline payments must be completed by the restaurant within the specified period, and payment proofs must be uploaded to the platform for verification.

The platform will settle payments to suppliers in accordance with agreements with suppliers.

All payments made through Stripe are subject to Stripe's terms of service and privacy policy. This company is not responsible for Stripe's services, system failures, or security vulnerabilities.
8. Promotional Push Services

Suppliers may pay to use the platform's promotional push services to send promotional messages to specified target restaurant groups.

Suppliers shall bear full responsibility for their promotional content, ensuring it is true, legal, and non-misleading.

This platform reserves the right to review and reject the publication of any promotional content.
9. Instant Messaging System

Users may contact other users or platform customer service through the platform's built-in instant messaging system.

All messages sent through the instant messaging system are part of the platform's user content. Users must not send any illegal, harassing, defamatory, threatening, or rights-infringing messages.

This company reserves the right to monitor and review communication content (especially when handling disputes), but has no obligation to conduct proactive monitoring.
10. Intellectual Property

This platform and its original content (excluding user-provided content), features, and designs are the exclusive property of this company or its licensors and are protected by Hong Kong and international intellectual property laws.

Users grant this company a non-exclusive, worldwide, royalty-free, sublicensable license to their content posted on the platform for the purpose of operating and providing platform services.
